Welcome to Studentfy.co ("Service", "Platform", "we", "us", or "our"). By accessing or using our AI-powered Enterprise Management Information System for educational exchange programs, you ("Client", "Organization", "you", or "your") agree to be bound by these Terms of Service ("Terms").

By clicking "I Accept," signing up for an account, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

2. Service Description

Studentfy.co provides a comprehensive cloud-based Enterprise Management Information System specifically designed for Fulbright Commissions and educational exchange organizations. Our Service includes:

• Application Management System: Online application creation, submission, and tracking for scholarship programs
• AI-Powered Review Tools: Automated eligibility screening, document processing, and applicant scoring
• Grantee Management: Comprehensive tracking of selected candidates from award through program completion
• Alumni Engagement Platform: Tools for maintaining relationships with program alumni
• Analytics and Reporting: Data visualization and insights across all program phases
• Document Management: Secure storage and processing of application materials
• Reviewer Portal: Systems for internal, external, and alumni reviewers

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice, though we will make reasonable efforts to notify clients of material changes.

3. Account Registration and Security

3.1 Account Creation

To access the Service, you must create an account by providing accurate, complete, and current information. You represent and warrant that:

• You are authorized to bind your organization to these Terms
• All registration information is accurate and up-to-date
• You will maintain the accuracy of such information

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activities that occur under your account
• Notifying us immediately of any unauthorized access or security breach
• Implementing appropriate access controls for your organization's users

3.3 User Roles

Your organization may create different user types including administrators, program officers, reviewers, applicants, grantees, and alumni. You are responsible for properly managing user permissions and access levels.

4. Subscription and Payment Terms

4.1 Subscription Plans

Studentfy.co offers three subscription tiers:

• Starter Plan: $2,999/month - Up to 1,000 applications annually, 2 programs, basic AI features
• Professional Plan: $5,999/month - Up to 5,000 applications annually, unlimited programs, full AI suite
• Enterprise Plan: Custom pricing - Unlimited applications, multi-commission support, custom AI models

4.2 Payment Terms

Subscription fees are billed monthly in advance. By providing payment information, you authorize us to charge the applicable fees to your payment method. You agree to:

• Pay all fees associated with your subscription plan
• Provide current, complete, and accurate billing information
• Promptly update your payment information if it changes
• Pay all taxes applicable to your subscription

4.3 Renewals and Cancellation

Subscriptions automatically renew at the end of each billing period unless canceled at least 30 days prior to renewal. Cancellations take effect at the end of the current billing period. No refunds are provided for partial months or unused services.

4.4 Price Changes

We may change our pricing with 60 days' notice. Price changes will take effect at the start of the next billing period following the notice.

4.5 Late Payments

Late payments may result in service suspension. We reserve the right to charge interest on overdue amounts at 1.5% per month or the maximum rate permitted by law, whichever is less.

5. Data Usage and Ownership

5.1 Your Data

You retain all rights, title, and interest in your data ("Client Data"), including:

• Applicant information and application materials
• Grantee and alumni records
• Review scores and assessments
• Documents uploaded to the platform
• Reports and analytics generated from your data

5.2 License to Use Your Data

You grant us a limited license to use, store, and process Client Data solely to provide the Service. This includes:

• Storing data on our secure servers
• Processing data through our AI algorithms
• Displaying data in your dashboards and reports
• Backing up data for disaster recovery

5.3 Data Security

We implement industry-standard security measures including:

• SSL/TLS encryption for data in transit
• AES-256 encryption for data at rest
• Regular security audits and penetration testing
• SOC 2 Type II compliance
• GDPR and FERPA compliance measures

5.4 Data Export and Portability

You may export your data at any time in standard formats (CSV, JSON, PDF). Upon termination, we will provide a final data export within 30 days upon request.

5.5 Data Deletion

Following account termination, we will delete or anonymize your data within 90 days, except where retention is required by law or necessary for legitimate business purposes (e.g., resolving disputes, enforcing agreements).

8. AI-Powered Services

• Application scoring and ranking
• Predictive analytics for grantee success
• Alumni engagement prediction
• Smart reviewer matching

8.2 AI Accuracy and Limitations

You acknowledge that:

• AI predictions are probabilistic and not guarantees
• AI models may have inherent biases that we actively work to mitigate
• Human oversight is necessary for fair and ethical decision-making
• We continuously improve our AI models but cannot guarantee perfect results

8.3 Ethical AI Use

We commit to:

• Transparency about when AI is used in evaluation processes
• Regular bias audits across demographic groups
• Excluding protected characteristics from predictive models
• Providing appeals processes for AI-flagged decisions

9. Privacy and Data Protection

Our collection, use, and protection of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9.1 Compliance

We comply with:

• GDPR: General Data Protection Regulation (EU)
• FERPA: Family Educational Rights and Privacy Act (US)
• Local Laws: Data protection laws in Pakistan, Malaysia, Philippines, Mexico, and other jurisdictions where we operate

9.2 Data Processing Agreement

For clients subject to GDPR, our Data Processing Agreement is available upon request and defines our role as a data processor acting on your behalf.

9.3 Data Breach Notification

In the event of a data breach affecting your data, we will notify you within 72 hours of becoming aware of the breach, in compliance with applicable laws.

10. Service Availability and Support

10.1 Uptime Guarantee

We guarantee 99.9% uptime for the Service, calculated monthly. Scheduled maintenance windows are excluded from this calculation. If we fail to meet this SLA, you may be eligible for service credits as outlined in your subscription agreement.

10.2 Support Services

Support levels vary by subscription plan:

• Starter: Email support, 48-hour response time
• Professional: Priority support, 24-hour response time, training resources
• Enterprise: 24/7 dedicated support, account manager, custom training

10.3 Scheduled Maintenance

We may perform scheduled maintenance with at least 7 days' notice. Emergency maintenance may be performed with less notice when necessary for security or stability.

11. Termination

11.1 Termination by You

You may cancel your subscription at any time by providing 30 days' written notice. Termination takes effect at the end of your current billing period. No refunds will be provided for the remaining term.

11.2 Termination by Us

We may suspend or terminate your account if:

• You breach these Terms
• Your payment is more than 30 days overdue
• You engage in fraudulent or illegal activities
• Continued service would cause us legal liability

We will provide notice and opportunity to cure breaches when reasonably possible.

11.3 Effect of Termination

Upon termination:

• Your access to the Service will cease
• You will have 30 days to export your data
• We will delete or anonymize your data within 90 days
• All outstanding fees become immediately due

12. Limitation of Liability

We shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Service interruptions or errors
• Actions or omissions of third parties
• Unauthorized access to or alteration of your transmissions or data

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

We warrant that the Service will perform substantially in accordance with our documentation under normal use.

EXCEPT AS EXPRESSLY PROVIDED, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability
• Fitness for a particular purpose
• Non-infringement
• Accuracy or reliability of AI predictions
• Uninterrupted or error-free operation

14. Indemnification

You agree to indemnify, defend, and hold harmless Studentfy.co, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of third parties
• Your Client Data or content
• Your decisions made based on Service outputs

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via:

• Email to your registered address
• Notice within the Service
• Posting on our website

Changes become effective 30 days after notification. Your continued use of the Service after changes take effect constitutes acceptance. If you do not agree to the changes, you must cancel your subscription before the effective date.
